1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and USConfirmationCode ("we," "us," or "our"), concerning your access to and use of the usconfirmationcode.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and our financial education services (the "Services").

You agree that by accessing the Site and/or Services, you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and/or Services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account.

Account Termination

We reserve the right to terminate or suspend your account and bar access to the Site or Services at our sole discretion, without notice, for conduct that we determine to be in violation of these Terms or any applicable law, or for any other reason.

USConfirmationCode provides financial education services, including but not limited to online courses, webinars, coaching, and educational resources. The specific details and features of the Services will be described on the Site or in separate agreements specific to those Services.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may also impose limits on certain features and Services or restrict your access to parts or all of the Services without notice or liability.

Educational Content Only

The information provided through our Services is for educational purposes only and does not constitute financial, investment, tax, or legal advice. We do not recommend or endorse specific investments, and we are not responsible for any financial decisions you make based on our content.

5. Purchases and Payment

Pricing

The prices for our Services will be clearly displayed on the Site. We reserve the right to adjust pricing for our Services at any time. We will not, however, change the price of any Service after you have paid for it.

Payment

You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

Billing

For subscription-based Services, you will be billed in advance on a recurring basis according to the billing cycle of your subscription. Billing cycles are typically monthly or annually. You may cancel your subscription at any time by contacting us.

Refunds

All purchases are subject to our refund policy, which will be clearly communicated on the Site or in the specific agreement for the Service you purchase. Generally, we offer a 14-day satisfaction guarantee for most of our programs.

6. Intellectual Property Rights

Our Content

The Site and Services, including their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by USConfirmationCode, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Services for your personal, non-commercial use. This license does not include the right to:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to decompile or reverse engineer any software contained on the Site
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

This license will automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

7. User-Generated Content

User Contributions

The Site and Services may contain message boards, chat rooms, personal profiles, forums, or other interactive features that allow users to post, submit, publish, display, or transmit content or materials (collectively, "User Content") on or through the Site or Services.

Content Standards

All User Content must comply with these Terms and applicable laws. You represent and warrant that your User Content:

  • Does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights
  • Does not contain material that is defamatory, obscene, offensive, harassing, or otherwise objectionable
  • Does not promote discrimination, racism, hatred, or violence against any individual or group
  • Is not used to impersonate any person, or to misrepresent your identity or affiliation with any person or organization
  • Does not contain any unsolicited promotions, political campaigning, advertising, or solicitations

License to User Content

By posting User Content, you grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you have all rights necessary to grant this license.

8. Prohibited Activities

You agree not to engage in any of the following activities in connection with the Site or Services:

  • Violating any applicable law, rule, or regulation
  • Infringing on the intellectual property rights of others
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site
  • Using the Site or Services in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site
  • Uploading or transmitting viruses, malware, or other malicious code
  • Collecting or tracking the personal information of others
  • Engaging in any automated use of the system, such as using scripts to send messages or upload content

9. Termination

We may terminate or suspend your account and bar access to the Site and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site and Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site and Services, or you may contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USConfirmationCode AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEITHER USConfirmationCode NOR ITS SUPPLIERS AND LICENSORS MAKES ANY WARRANTY THAT THE SITE OR SERVICES WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED.

Financial Disclaimer

THE CONTENT PROVIDED THROUGH OUR SERVICES IS FOR EDUCATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. WE DO NOT GUARANTEE ANY PARTICULAR RESULT FROM FOLLOWING THE INFORMATION, STRATEGIES, OR RECOMMENDATIONS PROVIDED.

You agree to defend, indemnify, and hold harmless USConfirmationCode, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, your User Content, any use of the Site's or Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Site or Services.

13. Governing Law

These Terms and your use of the Site and Services will be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site or Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site and Services thereafter.
